For more information on CSL Group, please visit our website: Duties and responsibilities Legal counsel, advisor and support to the Finance Department. Responsible for legal matters relating to finance, accounting, treasury and tax matters, including: Providing legal assistance in relation to financings and borrowing transactions; Carrying out complex corporate reorganizations and tax plans; Providing opinions and guidance on treasury agreements and related legal matters; General advice on general matters of a finance legal nature; Analysing laws and regulations applicable to finance, treasury and tax planning transactions; Assessing legal risk in finance transactions and developing and implementing effective mitigation strategies; and Supervising external counsel in finance matters. Responsible for corporate law matters, including management of secretarial services, governance, corporate maintenance and record keeping for the Company and its subsidiaries, including: Supervising external counsel or corporate secretarial services provider relating to corporate secretarial matters of subsidiaries; Implementation and completion of legal compliance programs (Lobbyist Registration, Sanctions, Anti-Corruption, Privacy, Office de La Langue Française, etc.); and Real estate matters. Support the Assistant General Counsel and Chief Legal and Sustainability Officer in matters of corporate governance. Support the Assistant General Counsel and Chief Legal and Sustainability Officer in developing corporate policies and procedures. Support the Assistant General Counsel and Chief Legal and Sustainability Officer in developing a risk adjusted compliance program for CSL. Implementation, reporting, and monitoring CSL compliance program. Responsible for legal matters relating to procurement and procurement contracting, including: Drafting and negotiating contracts with suppliers; Providing opinions and guidance on supplier contracts and related legal matters; and Analysing laws and regulations applicable to commercial transactions. Qualification and skills 2-5 years of legal experience in commercial and corporate law with a major law firm or corporation. Law degree from a recognised law faculty at a Canadian university. Member of the Barreau du Quebec or equivalent certification. Demonstrated project management skills with the ability to prioritize, manage and execute strategic goals as well as to ensure the timely execution of punctual matters. Results oriented, with strong legal capabilities, problem-solving skills and attention to detail. Exceptional drafting and negotiating skills. Strong customer service orientation. Strong knowledge and experience in corporate finance. Strong knowledge and experience in corporate compliance. Excellent interpersonal and communication skills in both English and French (written and oral) including the ability to communicate clearly and effectively with multi-disciplinary teams in internal groups and externally in a global work environment with business and legal professionals. Highly ethical and accountable. Management skills, discretion, sound judgment. Effective risk manager and confident in making sound legal business decisions. Ability to adapt to different cultural environments. Strong team player and collaborator and capable of working autonomously and interacting with colleagues globally.
