The corporate lawyer must demonstrate initiative, diligence and organization, as well as team spirit. The position is based at the company's office in Brossard (Montreal area), with the possibility of a hybrid work arrangement.More specifically, here are some of the key responsibilities: Provides day-to-day legal advice to business units in its region (Canada). Conduct thorough legal research and analysis on various corporate law issues, including mergers and acquisitions, ESG reports, NDA’s, corporate governance, securities, and regulatory compliance. Ensure that the activities of the Company in the territory (Canada) are conducted in accordance with applicable local laws, Company policies, good governance and business practices. Prepare, review, and negotiate a wide range of corporate documents, including contracts, shareholder agreements, bylaws, and corporate resolutions. Provide legal advice and support to internal stakeholders on corporate and labor relations law matters, ensuring compliance with applicable laws and regulations in Canada and occasionally in USA states, where the company is represented. Assist in the execution of corporate transactions, including due diligence, drafting transaction documents, and coordinating closings. Advise stakeholders on regulatory compliance issues, ESG matters, including securities regulations, antitrust laws, and industry-specific requirements. Support the department and coordinate with external lawyers various corporate legal functions, with a wide variety of corporate legal matters. Participate in the development and implementation of effective corporate governance practices and policies. Participate in the preparation and planning of the annual meeting of the Company’s shareholders, and other shareholder-related events. Provide support to the Corporate Secretary on matters related to meetings of the Board of Directors and other Board functions, and keeping of minutes books. All other related tasks. Here's the profile we're looking for: Minimum a Bachelor's degree in law in Canada. A member of the Quebec Bar, and ideally to the Ontario Bar. You have at least 5 years of relevant experience, ideally with a corporate and business law firm and/or a Canadian publicly-traded or international company. Fluently bilingual in French and English required. Spanish is a great asset. Strong communication skills (oral, written and presentation). Excellent interpersonal and client-facing skills, with the ability to build and maintain strong interpersonal relationships. Strong research and analytical skills, with proficiency in legal research tools and Microsoft Office Suite. High level of accuracy and attention to detail in all aspects of work.
